PARTICIPATION IN THE SKLZ ULTIMATE FAN EXPERIENCE SWEEPSTAKES (THE "SWEEPSTAKES") CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES ("RULES"). BY PARTICIPATING, YOU REPRESENT AND WARRANT THAT YOU MEET THE ELIGIBILITY REQUIREMENTS STATED IN THESE RULES AND ACKNOWLEDGE THAT THE FAILURE TO MEET ALL ELIGIBILITY REQUIREMENTS WILL RESULT IN DISQUALIFICATION FROM THE SWEEPSTAKES.

SWEEPSTAKES BEGINS AT 12:00:01 AM EASTERN TIME (ET) ON APRIL 10, 2025, AND ENDS AT 11:59:59 PM ET ON JUNE 1, 2025 (THE "SWEEPSTAKES ENTRY PERIOD").

WHO MAY ENTER: The Sweepstakes is open to legal residents of the fifty (50) United States (and the District of Columbia) age 18 or older at time of entry (collectively referred to hereafter as "Entrant" or "Entrants"). Employees (or individuals who have been employed within the last twelve (12) months) of Implus Footcare LLC (the "Sponsor"), DICK’S Sporting Goods Inc., Ventura Associates International LLC (the "Sweepstakes Administrator") and their respective parent companies, subsidiaries, affiliates, distributers, advertising, public companies, subsidiaries, affiliates, distributers, advertising, public relations and promotion agencies or any company or individual involved with the development or execution of the Sweepstakes (collectively, the "Sweepstakes Entities"), and their immediate family members and/or those living in the same household of each, whether related or not, are not eligible to enter or win. Sweepstakes governed by U.S. law. Sweepstakes is subject to all applicable federal, state and local laws and regulations. Void where prohibited by law.

HOW TO ENTER FOR A CHANCE TO WIN: There are two ways to enter. Method 1: Entrants will receive a QR code on their receipt when they make an eligible purchase of a SKLZ item at a DICK’S Sporting Goods or DICK’S House of Sport retail store or online at www.DICKS.com during the Sweepstakes Entry Period. To enter via the QR code, the Entrant must scan the QR code during the Sweepstakes Entry Period and follow all onscreen instructions to complete and submit the Sweepstake entry form. Method #2: During the Sweepstakes Entry Period, Entrants can visit www.SKLZsweepstakes.com and follow all onscreen instructions to enter the Sweepstakes by competing and submitting the Sweepstakes entry form. ENTRY LIMIT: REGARDLESS OF THE METHOD UTILIZED TO ENTER, THERE IS A LIMIT OF ONE (1) ENTRY PER ENTRANT.

Any attempt by an Entrant to obtain more entries by using multiple/different email accounts, identities, or any other methods will void that Entrant's entries, and that Entrant will be disqualified. Use of scripts, macros, or any other automated system to participate or subvert the process is prohibited and will result in disqualification. In the event of an identity dispute, entry will be considered made by the registered holder or owner of the email address account used for entry. A potential winner may be required to show proof of being the authorized holder of the email account. Mechanically reproduced entries will be disqualified along with all entries associated with the disqualified entry or entries. Sponsor is not responsible for lost, late, garbled, damaged, illegible, incomplete, inaccurate, misdirected, or mutilated due entries. All entries submitted become property of the Sponsor and will not be acknowledged.

WINNER SELECTION & ODDS: The potential winner will be randomly selected from all eligible entries received during the Sweepstakes Entry Period. A random drawing will be conducted on or about June 4, 2025, by the Sweepstakes Administrator, whose decisions are final and binding. Odds of winning are determined by the number of eligible entries received during the Sweepstakes Entry Period.

WINNER NOTIFICATION & VERIFICATION: POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR AND/OR ITS SWEEPSTAKES ADMINISTRATOR. AN ENTRANT IS NOT A WINNER UNTIL HE/SHE HAVE BEEN VERIFIED AND NOTIFIED THAT THE VERIFICATION IS COMPLETE.

The potential winner will be notified by email within three (3) business days after the random drawing date and may be required to complete and return a) an Affidavit of Eligibility/Liability/Publicity Release, and b) an IRS W9 Form (collectively referred to as "Prize Documents") to the Sweepstakes Administrator within three (3) business days after the date of notification. At the sole discretion of the Sponsor, disqualification, forfeiture and the selection of an alternate winner may result from any of the following non-exclusive reasons: [1] a potential winner's failure to respond to email notification within three (3) business days after the email notification is sent; [2] the return of an email notification or message as undeliverable; [3] the potential winner's failure to provide Sponsor with satisfactory proof of age, identity and residency; [4] potential winner's failure to submit the required Prize Documents within three (3) business days after notification; [5] potential winner's failure to claim prize within three (3) business days after he or she is confirmed as the winner; or [6] any other non-compliance with these Rules. In the event of prize forfeiture, the Sponsor may, in its sole discretion, award or not award the forfeited prize to an alternate winner. Sponsor shall have no liability if notification is lost, intercepted, or not received for any reason. Sponsor is not responsible for any change in winner's email account or other contact information after entering the Sweepstakes. A background check may be conducted on the winner and his/her guest, and failure to cooperate with the background check may result in forfeiture of the prize at Sponsor's sole discretion. At Sponsor's sole discretion, winner and/or guest maybe disqualified if charged with or convicted of a felony or misdemeanor, or if the results of the background check reveals that such person's conduct has been inconsistent with generally accepted norms and/or might diminish the public reputation of the Sponsor or if winner/guest is not eligible based on the eligibility requirements set forth above. Except where prohibited by law, entry and acceptance of prize constitute permission for Sponsor and its agents and licensees to use winner's name, prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission. Furthermore, Sponsor and/or its agents may film, record and/or take photographs before/during/after the game, and may use the resulting footage, recordings or photographs for a range of purposes, including, without limitation, for marketing and promoting Sponsor and/or its licenses, promotion partners, and agents and their respective products and services. No additional compensation will be provided to the winner for any resulting footage.

PRIZE DETAILS: One (1) Grand Prize consisting of: a 3 day/2 night trip for winner and one (1) guest for a "meet & greet" session with Paul Skenes (subject to availability) before a baseball game at PNC Park in Pittsburgh, PA on a date and time as determined by the Sponsor. Approximate Retail Value ("ARV") of prize: $5,000.00. Prize consists of the following: round trip coach airfare to Pittsburgh, PA, for winner and guest from a major commercial airport located in the 50 United States nearest to winner's primary residence (or ground transportation, if winner resides within one hundred and fifty (150) miles of Pittsburgh) as determined by Sponsor; two (2) nights lodging accommodations (room and room tax only); selected meals; two (2) game day tickets (premium seats), and swag and memorabilia as determined by the Sponsor. The prize and game tickets may not be transferred or resold. The Sponsor is not responsible for any flight or transportation delay/cancellation, and not liable for any expenses incurred because of any delay/cancellation. Winner must accept the prize in its entirety or prize will be forfeited. All prize details, including selection of stadium seats, are at Sponsor's sole discretion. If the actual value of the trip is lower than the stated ARV when prize is procured and fulfilled, then the difference will not be awarded. All fees, federal, state, local or other expenses relating to the use, acceptance and possession of prize are the sole responsibility of winner. Taxes are the responsibility of winner. An IRS form 1099 will be filed in the name of winner.

No substitution of prize offered, no transfer of prize to a third party is permitted and prize may not be redeemed for cash value, except by Sponsor, who reserves the right in its sole discretion to substitute prize for a prize of comparable or greater value. The winner and his or her guest(s) understands that all other expenses not specifically mentioned herein, including but not limited to, meals, additional hotel amenities, alcoholic beverages or fees, incidentals and gratuities, are the responsibility of winner and guest. Additionally, the winner and guest are responsible for obtaining proper documentation (i.e., photo ID) prior to travel. The winner's guest may need to meet the age of majority within his/her jurisdiction and will be required to execute and return a Liability/Publicity Release prior to travel. A parent or legal guardian must accompany a traveling minor. Meet and greet, travel, hotel and other accommodations are subject to availability. The winner and guest must travel on the same itinerary. Certain restrictions and blackout dates may apply. Winner acknowledges that the game is beyond the control of the Sponsor and is subject to being rescheduled, modified or cancelled. If the meet and greet and/or the game is postponed, canceled or does not occur, no compensation or substitution will be provided, and the Sponsor shall have no further obligation to winner other than to supply the remaining portion of the prize minus the unavailable portion of the prize. Should this be the case, the trip must be taken within ten (10) months from the date of winner verification. If for any reason whatsoever, the winner is unable to travel after all travel arrangements have been made and paid, the Sponsor shall have no further obligation to the winner. The winner and guest must comply with any security procedures or measures imposed by the meet and greet's and/or game's personnel and/or its representative(s). The Sponsor, or the meet and greet's or game's representative(s) reserve the right in their sole discretion to suspend or cancel the winner's and/or guest's attendance to attend the meet and greet and/or game due to non-compliance with any security procedure or inappropriate behavior or misconduct.

CONSENT AND RELEASE: To the fullest extent possible by law, Entrants and any coordinating entities, on behalf of themselves and on behalf of their respective heirs, executors, administrators, legal representatives, successors and assigns ("Releasing Parties"), hereby release, defend and hold harmless the Sweepstakes Entities and their associated companies and directors, subsidiaries, affiliated or successor companies and their respective owners, members, shareholders, officers, directors, partners, equity holders, agents, representatives, employees and all others associated with the development and execution of this Sweepstakes (collectively, "Releasees") from and against any and all claims, actions, causes of action, suits, liabilities, debts, dues, sums of money, accounts, reckonings, bonds, bills, specialties, covenants, contracts, controversies, agreements, promises, variances, trespasses, lost profits, indirect or direct damages, consequential damages, incidental damages, punitive or exemplary damages, judgments, extent, executions, claims and demands whatsoever, in law, admiralty or equity, whether known or unknown, foreseen or unforeseen, against Releasees which any one or more of the Releasing Parties ever had, now have, or hereafter can, shall or may have, which in any way arise out of or result from Entrant's participation in the Sweepstakes or acceptance of prize (if determined the winner).

By entering this Sweepstakes, you as an Entrant, agree, represent and warrant that: [1] you will be bound by the Rules, the Sponsor's and its Sweepstakes Administrator's decisions, which shall be final in all respects; [2] in the event viruses, bugs, unauthorized human intervention, or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism or other matters beyond the Sponsor's reasonable control, corrupt, prevent or impair the administration, security, fairness of the Sweepstakes or the Sweepstakes cannot be conducted as originally planned, except where prohibited by law, Sponsor has the right, in its sole discretion, to modify the Rules or to cancel, terminate or suspend the Sweepstakes; and in such event, to select winner by such method as Sponsor, in its sole discretion, shall consider equitable; [3] the Releasees are not responsible for typographical or other errors in the offer or administration of the Sweepstakes, including but not limited to: errors in the advertising, Rules, selection or announcement of winner; [4] the Releasees are not responsible for any inability of winner to accept prize (or any portion thereof) for any reason; [5] the Sponsor has the right, in its sole discretion, to disqualify any individual it suspects of any of the following: (a) tampering or attempting to tamper with the entry process or the operation of the Sweepstakes; (b) violating the Rules and/or the Sponsor's Privacy Policy; or (c) violating any other terms, conditions of use and/or general rules or guidelines of the Sweepstakes ; and [6] any attempt by any individual to deliberately undermine the legitimate operation of the Sweepstakes is a violation of these Rules, as well as criminal and civil laws; and should Sponsor believe or become aware that such an attempt has been, is being, or will be made, it has the right to seek remedies and damages from any responsible individuals to the fullest extent permitted by law, including, without limitation, criminal prosecution.

By participating in this Sweepstakes, each Entrant expressively waives and relinquishes all rights and benefits afforded by California Civil Code 1542 and does so understanding and acknowledging the significance of this waiver. Section 1542 states as follows: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DID NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN, BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR THE RELEASED PARTIES."

ARBITRATION: This Sweepstakes shall be governed by and interpreted under the laws of the State of North Carolina, U.S.A., without regard to its conflicts of laws provisions. Each Entrant hereby agrees that any and all disputes, claims, causes of action, or controversies ("Claims") arising out of or in connection with this Sweepstakes or prize shall be resolved, upon the election by Entrant or Sponsor, by arbitration pursuant to this provision and the code of procedures of either the National Arbitration Forum ("NAF") or the American Arbitration Association ("AAA"), as selected by Entrant. IF ARBITRATION IS CHOSEN BY ANY PARTY WITH RESPECT TO A CLAIM, NEITHER PARTY WILL HAVE THE RIGHT TO LITIGATE THAT CLAIM IN COURT OR HAVE A JURY TRIAL ON THAT CLAIM. FURTHER, NEITHER SPONSOR NOR ANY ENTRANT WILL HAVE THE RIGHT TO PARTICIPATE IN A REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR OTHER PERSONS SIMILARLY SITUATED, OR AS A MEMBER OF ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION. EXCEPT AS SET FORTH BELOW, THE ARBITRATOR'S DECISION WILL BE FINAL AND BINDING. NOTE THAT OTHER RIGHTS THAT AN ENTRANT WOULD HAVE IF ENTRANT WENT TO COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS SWEEPSTAKES. EACH ENTRANT HEREBY WAIVES ANY RIGHTS OR CLAIMS TO ATTORNEY'S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE. The arbitrator's authority to resolve Claims is limited to Claims between Sponsor and any Entrant alone, and the arbitrator's authority to make awards is limited to awards to Sponsor and Entrant alone. Furthermore, claims brought by either party against the other may not be joined or consolidated in arbitration with Claims brought by or against any third party, unless agreed to in writing by all parties. No arbitration award or decision will have any preclusive effect as to issues or claims in any dispute with anyone who is not a named party to the arbitration. Notwithstanding any other provision in these Rules and without waiving either party's right to appeal such a decision, should any portion of this provision be deemed invalid or unenforceable, then the entire provision (other than this sentence) shall not apply.

PRIVACY: By entering the Sweepstakes, the information Entrants provide may be sent to promotional partners, including DICK’S Sporting Goods, Inc. The information provided by Entrants to participate in this Sweepstakes is subject to Sponsor's privacy policy located at https://www.implus.com/privacy-policy/ and DICK’S Sporting Goods privacy policy located at: https://www.dickssportinggoods.com/s/policy/privacy-policy.

SEVERABILITY: The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
